A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.
The "AE Charge to NYC Sweepstakes" ("Sweepstakes") starts at 12:01 am Eastern Time ("ET") on January 18, 2010 and ends at 11:59 pm Pacific Time ("PT") on February 23, 2010 for automatic entry ("Automatic Entry Period") with a qualified purchase (as detailed below) and on February 24, 2010 for the postmarking of a mail-in entry. The sponsor of this Sweepstakes is American Eagle Outfitters, Inc., 77 Hot Metal Street, Pittsburgh, PA 15203 (the "Sponsor"). Sweepstakes shall be subject to these Official Rules, and by entering, all participants agree to be bound by terms and conditions herein. Certain restrictions may apply.
ELIGIBILITY: THE SWEEPSTAKES IS OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES, THE DISTRICT OF COLUMBIA AND PUERTO RICO (THE "ELIGIBILITY AREA"), EIGHTEEN (18) YEARS OF AGE OR OLDER AS OF THE DATE OF THEIR ENTRY. Employees and their families of the Sponsor, West Coast Marketing, a division of the Susquehanna Hat Company ("West Coast Marketing"), their respective affiliates, subsidiaries, parent companies, agencies and participating retailers (collectively, the "Promotion Parties") and those living in the household of same are not eligible to enter or win. A prize won by an individual eighteen years of age or older but who is considered a minor in the legal jurisdiction in which he or she resides will be awarded in the name of his or her parent or legal guardian.
PRIVACY INFORMATION: All information obtained from entry in the Sweepstakes will be used in compliance with the Sponsor\'s privacy policy available at www.ae.com. False and/or deceptive entries or acts shall render entrants ineligible.
American Eagle Outfitters will not sell, rent, lease or otherwise transfer entrant personal contact information to any non-American Eagle Outfitters company for any purposes other than as required for the administration and/or fulfillment of the Sweepstakes.
The laws of the Commonwealth of Pennsylvania apply to and govern this Sweepstakes and any claims must be raised and resolved in the Federal or state courts located in Allegheny County, Pennsylvania, United States.
All Federal, state, and local rules and regulations apply. Void outside the Eligibility Area and where prohibited or restricted by law.
HOW TO ENTER SWEEPSTAKES WITH QUALIFYING PURCHASE MADE AT WWW.AE.COM (the "Web Site"), participating AE retail locations or at 1.888.232.4535 ("TOLL-FREE TELEPHONE NUMBER"): During the Automatic Entry Period, you will automatically receive one (1) entry into this Sweepstakes when you make a purchase of any AE item using your AE credit card or AE Visa credit card ("Automatic Entry") on the Web Site, at a participating AE retail location or at the Toll-Free Telephone Number. Only one (1) Automatic Entry will be awarded per transaction, regardless of the number of items purchased during the specific transaction. The name and address exactly as it appears in the official account information associated with the AE credit card or AE Visa credit card account used to place the purchase will be entered once per transaction. The official account information associated with the applicable credit card account is defined as the personal information provided by the consumer at the time of the account creation. ALL AUTOMATIC ENTRIES MUST BE COMPLETED BY 11:59 PM PT ON FEBRUARY 23, 2010.
Account adjustment transactions/returns, & international transactions, late payment fees, over-limit or over-draft fees, return check fees, balance transfers and/or other fees assessed on your account are not considered eligible transactions for automatic Sweepstakes entry. Entries from unauthorized use or made with a lost, stolen, or fraudulent credit card are void. Only purchases made with an AE credit card or AE Visa credit card that is in good standing (both at time of entry and winner selection) are eligible for automatic entry.
HOW TO ENTER THE SWEEPSTAKES FOR FREE BY MAIL: To enter the Sweepstakes for free by mail, hand print (no photocopied, computer generated facsimiles, mechanically reproduced or mass entries permitted) your first and last name, street address (no post office boxes), city, state, zip code, gender, daytime telephone number, date of birth and (if applicable) e-mail address on a postcard only and mail the completed postcard entry to "AE Charge to NYC Sweepstakes", PO BOX 6041, SHERMAN OAKS, CA 91413 ("Mail-in entry"). ENTER AS OFTEN AS YOU WISH BY MAIL. BUT ALL MAIL-IN ENTRIES MUST BE MAILED SEPARATELY AND BE POSTMARKED BY FEBRUARY 24, 2010 AND RECEIVED BY MARCH 3, 2010.
The Promotion Parties, General Electric Capital Corporation and all Internet server(s) and access provider(s), and each of their respective affiliates, subsidiaries, parent corporations, and advertising and promotional agencies, and all of their officers, directors, shareholders, employees and agents (collectively, "Releasees") are not responsible for: any incorrect or inaccurate entry information; human error; technical malfunctions; processing errors; failures, omission, interruption, deletion, or defect of any telephone network, computer on-line systems, computer equipment, servers, providers, or software, including any injury or damage to participant\'s or any other person\'s computer relating to or resulting from participation in this Sweepstakes; inability to access the Web Site or any pages thereof; inability to access the Toll-Free Telephone Number; theft, tampering, destruction, or unauthorized access to, or alteration of entries; any problems with transactions, including, but not limited to transactions that are processed late or incorrectly or are incomplete or for refused credit or for 3rd party transaction classification issues; data processing that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines (including the Toll-Free Telephone Number) or the Internet or any web site, (including the Web Site); errors in these Official Rules, in any Sweepstakes-related advertisements or other materials; printing or other errors; and any Mail-in Entries that are late, lost, incomplete, misdirected, stolen, mutilated, illegible, postage due or any combination thereof. Illegible and incomplete entries and entries not in compliance with these Official Rules (as determined by Sponsor) will be disqualified. Entries will not be acknowledged or returned. False, fraudulent or deceptive entries or acts shall render entrants ineligible. By entering the Sweepstakes, entrants affirm that they have read and accepted these Official Rules. The Sweepstakes shall be governed by and construed in accordance with the laws of the United States. By entering the Sweepstakes, entrants hereby submit to the jurisdiction and venue of the federal and state courts of the United States and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum.
WINNER SELECTION & NOTIFICATION: Prize winners will be selected in a random drawing from among all eligible entries on or about March 19, 2010 by West Coast Marketing, an independent judging organization, whose decisions are final in all matters relating to this Sweepstakes. Grand Prize winner will be notified and sent a congratulatory package via certified mail within seven (7) days of drawing date. Grand Prize winner (or his or her parent or legal guardian if Grand Prize winner is eighteen (18) years of age or older but considered a minor) will be required to execute and return an Affidavit of Eligibility/Release of Liability form, and (except where prohibited) a Publicity Release and a completed IRS W-9 form within seven (7) days of issuance date of notification. The Grand Prize winner\'s travel companion is required to be eighteen (18) years of age or older at time of winner notification or be the child or ward of the Grand Prize winner. The Grand Prize winner\'s travel companion (or Grand Prize Winner if the Grand Prize winner\'s travel companion is the minor child or ward of the Grand Prize Winner) is also required to execute and return a Release of Liability and Publicity Release within this same time deadline. Grand Prize Winner\'s travel companion must be of majority age or older in their legal jurisdiction of residency or be the child or ward of the Grand Prize winner. A minor will not be allowed to participate in any portion of Grand Prize travel without being accompanied by his or her parent or legal guardian. If the selected Grand Prize winner does not respond within seven (7) days of the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such selected Grand Prize winner, such selected Grand Prize winner will forfeit his or her prize and an alternate Grand Prize winner may at Sponsor\'s sole discretion be selected. Once correctly completed documentation (as detailed above) is received in a timely manner from the potential Grand Prize Winner, such potential Grand Prize Winner shall be declared the Grand Prize Winner of the Sweepstakes.
First Prize and Second Prize winners will be notified within forty-five (45) days of the random drawing with their prize being delivered by mail or other delivery service selected at the sole discretion of the Sponsor.
If a potential prize winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines the prize for any reason prior to award, or if a prize notification or prize is returned as undeliverable for any reason, such potential prize winner will be disqualified and an alternate prize winner may at Sponsor\'s sole discretion be selected. No substitution for a prize will be permitted except as noted below. If necessary due to unavailability, a prize of equal or greater value will be awarded at the discretion of the Sponsor. Prizes are not transferable, assignable or redeemable for cash except as detailed below.
In the event that a potential winner selected entered via an Automatic Entry, the applicable prize will be awarded to the primary account holder (as determined by the AE customer financial institution\'s account records & subject to said financial institution\'s timely identification of the account holder) named on the account used to make the entry.
All federal, state and local tax liabilities, if any, are the responsibility of the prize winner.
Any Commonwealth of Puerto Rico taxes or assessments levied on the prizes as of the date of delivery thereof to the winner shall be the sole responsibility of the winner of the sweepstakes.
Acceptance of a prize constitutes permission (except where prohibited) for the Sponsor to use the prize winner\'s and (when applicable) the Grand Prize winner\'s travel companion\'s name, likenesses, biographies, statements, and any other similar materials for publicity purposes without additional compensation or limitation.
PRIZES: GRAND PRIZE (one [1] will be awarded): The Grand Prize shall consist of a trip ("Trip") for two (2) people to New York, NY ("NYC"). The Trip includes the following: (i) roundtrip ("R/T") economy class airfare for two (2) from the major U.S. gateway airport nearest the winner\'s hometown to a NYC area airport ("Airport"), (ii) two (2) consecutive nights hotel accommodations (standard room, double occupancy) at a NYC area hotel ("Hotel"), (iii) one (1) $500 shopping spree awarded in the form of AE Gift Card(s)* and (iv) $200 in meal allowance.
Specific air carrier(s), Airport, Hotel, and other Trip specifics detailed above are at the sole discretion of the Sponsor or its designee(s). The approximate retail value ("ARV") of the Grand Prize is $1,750. The actual value of the Grand Prize travel may vary depending on city of departure, date and times of travel, airfare fluctuations and hotel charges at the time of travel bookings. Actual value of the Grand Prize awarded may be lower or higher at the time it is fulfilled. Any difference between actual value and stated ARV will not be awarded. All travel is subject to the following restrictions and conditions: All meals, additional ground transfers, gratuities, excursions, insurance, incidentals, passport fees, visa fees and any other expenses not specified herein are the sole responsibility of the Grand Prize winner and his or her travel companion. All travel arrangements are to be administered by Sponsor or its designee(s). Grand Prize winner must provide a minimum of forty-five (45) days advance notice of desired departure and all travel must be completed by December 31, 2010. All travel is subject to availability and holiday and other blackout dates apply. Travel must originate and end at the same major U.S. gateway airport.
Grand Prize Winner and his or her travel companion will be required to travel on identical itineraries including the same departure date, destination and return date. Grand Prize Winner and his or her travel companion will be required to provide valid government issued photo ID as required by travel authorities at time of travel. If a Grand Prize Winner\'s residence is within 150 miles of NYC (as determined by Sponsor) airfare portion of the prize will be forfeited in its entirety and no additional prize element substituted. No changes will be made to travel details once any element(s) of the travel arrangements have been booked. No frequent flier miles will be earned on any element of prize travel. Prize conditions may be added or modified by Sponsor or its designee. Releasees are not responsible for any changes of any element of Grand Prize Trip. Releasees are not liable for any expenses incurred as a consequence of flight cancellation or flight delays. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates. Travel is subject to capacity controls, availability, blackout dates and certain other restrictions, which may include a Saturday night stay, all of which are subject to change.
No stopovers are permitted on tickets issued as a prize; if a stopover occurs, the prize will terminate and full fare will be charged from the stopover point for the remaining trip segments, including the return. Once Hotel and flight arrangements have been confirmed, no changes will be allowed except by Sponsor or its designee. An unclaimed and/or unused Grand Prize travel package will remain the property of Sponsor or its designee.
FIRST PRIZE (two [2] will be awarded): Each First Prize consists of a $250 AE Gift Card*.
SECOND PRIZE (fifteen [15] will be awarded): Each Second Prize consists of a $50 AE Gift Card*.

These terms and conditions apply to all AE Gift Cards:
1. AE Gift Cards are not redeemable for cash; except where required by law.
2. AE Gift Cards carry no expiration date; unless otherwise indicated by AE.
3. AE Gift Cards can be used for multiple purchases.

The AE gift card can be redeemed for merchandise only at any AE or AE stores as well as at AE.com and AE.com, unless otherwise required by law, or by calling 1.888.232.4535. This card cannot be redeemed for cash or applied as payment for the AE credit card, unless otherwise required by applicable law. To redeem online, enter the gift card number and pin number at the payment page of the ae.com checkout. Only one AE gift card may by redeemed online at one time. All ae.com orders using AE gift cards at checkout will be processed in U.S. funds. Lost, stolen or damaged gift cards may be cancelled and replaced with a new gift card in the amount of the then remaining balance upon proof (original sales receipt) as required by AE. Acceptance of the card constitutes acceptance of these terms and conditions. The terms and conditions of your AE gift card are governed by the laws of the state where the card was accepted. AE gift cards have no service fees and no expiration dates. The AE gift cards are issued by AE Admin Services Co. LLC.
Prizes are non-transferable, assignable and have no cash value. No prize substitution or cash redemption allowed by a prize winner. Sponsor reserves the right to substitute a prize of comparable value if advertised prize becomes unavailable. Prize may not be sold, bartered or exchanged by a winner. Prizes are provided "as is" and without any warranty of any kind. By accepting a prize, the prize winner acknowledges compliance with these Official Rules.
The odds of winning a prize are determined by the total number of eligible entries received and are equal regardless of the method of entry. The total ARV of all prizes to be awarded in this Sweepstakes is $3,000.
LIMITATIONS ON LIABILITY: Releasees shall not be liable to winner or any other person for failure to supply the prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Releasees\' sole control. Releasees shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carrier(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Releasees shall not be liable for any loss or damage to baggage.
GENERAL: Entrants release and waive any claim they may have against Releasees and their respective employees, officers, directors, shareholders, affiliates, subsidiaries, parent and related companies and agencies for injuries, claims, damages or losses, costs or expenses of any kind resulting from acceptance of, use or misuse of the prize or parts thereof or from participation in this Sweepstakes.
If for any reason this Sweepstakes is not capable of running as planned, or if this Sweepstakes or any web site, toll-free telephone number or any web site, telephone or in-store transaction processing associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries per these rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in Sponsor\'s sole opinion, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action, and/or to cancel, terminate, modify or suspend this Sweepstakes or any portion thereof. In the event this Sweepstakes is canceled or terminated, Sponsor reserves the right to conduct a random drawing to award the prizes from among all eligible, non-suspect entries received prior to the time of the action or event warranting such cancellation. If such cancellation, termination, modification or suspension occurs, notification will be posted on the Web Site and at participating AE retail locations. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR TOLL-FREE TELEPHONE NUMBER OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
Where a dispute arises about who received an Automatic Entry, the Automatic Entry will be deemed submitted by the authorized account holder of the credit card account used for the applicable transaction. The authorized account holder is deemed the natural person named on the credit card account used for the qualifying transaction as specified above. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the applicable credit card account used and that all eligibility requirements are met.

Residents of VT may omit return postage on Official Rules requests. Official Rules are also available during the Automatic Entry period of the Sweepstakes at the Web Site and at participating AE retail locations.
